Website Terms and Conditions

Price: $15.00 (Excluding VAT at 20%)

Website terms and conditions have a number of functions. They set out the basis upon which a website and the material on a website may be used, and seek to limit or exclude the liability of the website owner. They can also be used as a convenient location for making any disclosures required by law. See:

This website terms and conditions template may be adapted for use in relation to a wide range of different kinds of website. It does not however include any provisions relating to paid-for website services.

Where a website collects personal information from users (as most do), the terms and conditions should be used in conjunction with a privacy policy.

The key provisions of this T&Cs document include:

  • License to use the website: what rights does a user have to view, copy, download and otherwise use website material?
  • Acceptable use: what unlawful or otherwise harmful activities are prohibited?
  • User generated content: what kinds of content may a user publish on or transmit via the website, and how is that content licensed to the website operator?
A full listing of the titles of the sections of this documents is as follows: (1) Introduction, (2) Licence to use website, (3) Acceptable use, (4) Restricted access, (5) User generated content, (6) Limited warranties, (7) Limitations and exclusions of liability, (8) Indemnity, (9) Breaches of these terms, (10) Variation, (11) Assignment, (12) Severability, (13) Exclusion of third party rights, (14) Entire agreement, (15) Law and jurisdiction, (16) Registrations and authorisations, and (17) Our details.

Website T&Cs FAQ

Website T&Cs FAQ

What are the terms of the license of user comments and other user materials published on the site?

Under the license as drafted in the template, the user grants to the website publisher a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute the user's content in any existing or future media. The right to sub-license these rights, and the right to bring an action for infringement of these rights, are also granted to the publisher.

In some cases users may be wary of such a wide grant, and you may want to use a more restrictive license.

Can these terms and conditions be used on an ecommerce site?

They can be adapted for use on an ecommerce site, but they are not sufficient on their own for such a site. For example, an online shop selling products to consumers would also need terms and conditions of sale.

What restrictions are placed upon the things that a user is allowed to post on the website?

The terms and conditions restrict the publication of illegal and unlawful material on the website, as well as material that infringes third party legal rights (e.g. copyright).

Professional documents

The contract forms and precedents on this website are designed for use by lawyers and other contract professionals. They are jurisdiction-neutral, and need to be adapted for a particular jurisdiction before use. Because of the application of substantive national laws and national rules of interpretation, non-professionals should avoid using our forms to create legal documentation unless the legal documentation will be checked by an appropriately qualified lawyer before execution or use.
